How we set the structure up
The first consultation, free
What you intend to trade under, and why. It is a decision rather than paperwork, and it is much easier to make now than to unpick in three years.
We go through how each structure works
For a company, how it operates, what directors are responsible for and what rights shareholders have. For a trust, what trustees are legally required to do and where a trust genuinely helps. If both, whether the trust should hold the shares in your company.
We register it
Company registration is attended to with CIPC. For a trust we draft the trust deed and register it with the Master of the High Court. We do the paperwork rather than advising and sending you elsewhere.
Afterwards
Ongoing company secretarial work such as changes of directors, and where it suits the structure we can act as trustee. We do not attend to annual returns.

Questions our clients ask us
What is the difference between a company and a trust?
A company is a vehicle for running a business, owned by shareholders and run by directors. A trust holds assets for the benefit of others and is run by trustees. They do different jobs, and some people need both.
Do you register the company yourself?
Yes. We attend to the CIPC registration rather than advising on structure and sending you elsewhere for the paperwork.
Who registers the trust?
We do. We draft the trust deed and register the trust with the Master of the High Court.
What do directors and shareholders each do?
Directors run the company and carry legal responsibility for how it is run. Shareholders own it. One person can be both, but the two roles carry different rights and different duties.
Can a trust own shares in a company?
It can, and it is a common arrangement. Whether it suits you depends on your circumstances, and there are legal and practical implications worth understanding first.
Do I actually need a trust?
Not everyone does. It is worth understanding what a trust would and would not achieve for you before committing to one.
